Yu Ying Contract

Contract for Merchandise between District Maker LLC and Washington Yu Ying Public

Charter School

This Contract for Merchandise (“Contract”) is made and entered into by and between

District Maker LLC (“District Maker”) and Washington Yu Ying Public Charter School

(“Yuying”) on the date of electronic acceptance of this Contract by Yuying.

Description of Services: District Maker will create a webpage within the District Maker

website that will display all of the Yuying merchandise for a yearly setup fee of $500.

Yuying can request to add or remove merchandise from the site as needed. District

Maker is a custom printing company and can provide merchandise for various

occasions, including but not limited to, cultural celebrations, Bike to School, Earth Day,

Read Across America, Teacher Appreciation Week, Fuel Free Friday, Black History

Month, Committee T-shirts, Staff T-shirts, and other school events. Some examples of

merchandise include T-shirt’s, Sweatshirts, Hoodies, Polo shirts, Onesies, Tote bags,

Face masks, Mugs, Drawstrings bags, Hats, Lanyards, Hang tags for carpool, bumper

stickers, Sign-a-Cade, and School banners.

Artwork Fees: Artwork fees for custom merchandise start at $30 and will be quoted on

a per-project basis.

Payment Terms: Payment for all merchandise must be made upfront by credit card or

check made payable to District Maker LLC.

Delivery: District Maker will deliver the order to Yuying every other Friday between 11 AM

and 1 PM. Delivery is free for orders delivered to Washington Yu Ying Public Charter

School at 220 Taylor St NE, Washington, DC 20017.

Term: This Contract shall be valid for one (1) year from the date of electronic

acceptance by Yuying. The yearly setup fee of $500 will be due annually on the

anniversary of the acceptance of this Contract.

Entire Agreement: This Contract constitutes the entire agreement between the parties

and supersedes all prior or contemporaneous negotiations, understandings, and

agreements between the parties concerning the subject matter contained herein. This

Contract may not be amended or modified except in writing signed by both parties.

Governing Law and Jurisdiction: This Contract shall be governed by and construed in

accordance with the laws of the District of Columbia. Any disputes arising out of or

relating to this Contract shall be resolved by the courts of the District of Columbia.
